END USER LICENSE AGREEMENT

This End User License Agreement (this "EULA") is a legal agreement between you ("Licensee," "you," or "your") and J Squared Solutions LLC, doing business as Opsify ("Licensor," "we," "us," or "our").

This EULA governs your right to access and use the Opsify cloud software platform, including our website at https://opsifyapp.com, web applications, application programming interfaces, documentation, updates, and related technology (collectively, the "Software" or "Service").

By creating an account, accessing, or using the Service, you agree to be bound by this EULA. If you do not agree, you may not access or use the Service.

RELATED AGREEMENTS

This EULA is part of the legal framework for your use of Opsify and must be read together with:

- Opsify Privacy Policy (https://opsifyapp.com/privacy)

If there is a conflict between this EULA and the Terms of Use regarding license rights, intellectual property, subscriptions, accounts, user content, data, acceptable use, or termination, the Terms of Use control. This EULA supplements the Terms of Use with respect to your license to use the Software.

1. GRANT OF LICENSE

Subject to your compliance with this EULA, the Terms of Use, and the Privacy Policy, and subject to payment of applicable fees (if any), Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business operations through the user accounts and subscription plan authorized by Licensor.

This license does not grant you ownership of the Software. No rights are granted except as expressly stated in this EULA and the Terms of Use.

2. LICENSE RESTRICTIONS

Except to the extent expressly permitted by applicable law notwithstanding this limitation, you and any third party acting on your behalf may not:

- copy, modify, adapt, translate, or create derivative works of the Software;

- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;

- rent, lease, lend, sell, sublicense, distribute, or otherwise make the Software available to any third party except as expressly permitted through authorized user accounts under your subscription;

- remove, alter, or obscure any proprietary notices on or in the Software;

- use the Software to build a competing product or service;

- access the Service through automated means except as expressly authorized by Licensor; or

- circumvent or disable any security, access control, or usage-limiting features of the Service.

Additional use restrictions are set forth in the Terms of Use, which are incorporated into this EULA by reference.

3. ACCOUNTS AND AUTHORIZED USERS

Access to the Service is provided through user accounts registered under your organization. You are responsible for all activity that occurs under your accounts and for ensuring that authorized users comply with this EULA and the Terms of Use.

4. UPDATES AND MAINTENANCE

Licensor may update, modify, or improve the Service from time to time, including adding or removing features. Licensor is not obligated to provide any specific updates or to maintain any particular feature. Continued use of the Service after an update constitutes acceptance of the updated Service, subject to your rights under the Terms of Use.

5. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Software, including all software, code, designs, text, graphics, logos, trademarks, service marks, algorithms, and documentation, are owned by Licensor or its licensors and are protected by applicable intellectual property laws.

You retain ownership of your business data and User Content as described in the Terms of Use. No rights in your data are transferred to Licensor except as expressly granted in the Terms of Use and Privacy Policy.

6. SUPPORT

Licensor may provide support for the Service as described on the Site, in your subscription plan, or in separate support policies. Unless otherwise stated, support is available by email at hello@opsifyapp.com during normal business hours. Licensor does not guarantee any specific response time unless expressly agreed in writing.

7. TERM AND TERMINATION

This EULA remains in effect for as long as you have an active account and valid authorization to use the Service, or until terminated as provided herein or in the Terms of Use.

This EULA will terminate automatically if you breach any material term of this EULA or the Terms of Use. Licensor may also suspend or terminate your access to the Service as described in the Terms of Use, including for non-payment, security risk, or unlawful use.

Upon termination, your license to use the Software ends immediately and you must cease all use of the Service. Provisions that by their nature should survive termination will survive, including Sections 5, 8, 9, 10, and 11.

8. WARRANTY DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, ACCURACY, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, OR FREE OF HARMFUL COMPONENTS. YOU ASSUME ALL RISK ARISING OUT OF YOUR USE OF THE SOFTWARE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE FOREGOING MAY NOT APPLY TO YOU.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO OPSIFY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE FOREGOING MAY NOT APPLY TO YOU.

10. GOVERNING LAW AND VENUE

This EULA is governed by the laws of the State of Maryland and the federal laws of the United States, without regard to conflict of law principles. Any dispute arising out of or relating to this EULA that is not resolved informally shall be brought exclusively in the state or federal courts located in Anne Arundel County, Maryland, and each party consents to personal jurisdiction and venue in those courts.

The prevailing party in any action to enforce this EULA shall be entitled to recover its reasonable attorneys' fees and costs to the extent permitted by law.

11. GENERAL

Assignment. You may not assign or transfer this EULA or any rights under it without Licensor's prior written consent. Licensor may assign this EULA in connection with a merger, acquisition, corporate reorganization, or sale of assets, as further described in the Terms of Use.

Severability. If any provision of this EULA is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

Waiver. No failure or delay by either party in exercising any right under this EULA will operate as a waiver of that right.

Entire Agreement. This EULA, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and Licensor regarding your license to use the Software and supersedes prior agreements on that subject. In the event of conflict among these documents, the order of precedence stated in the "Related Agreements" section above applies.

Modifications. Licensor may update this EULA from time to time. Material changes will be communicated as described in the Terms of Use. Your continued use of the Service after the effective date of an updated EULA constitutes acceptance of the revised EULA.
